Course Terms & Conditions

These Course Terms & Conditions (the “Terms”) constitute a legally binding agreement between you (“User,” “Student,” or “you”) and Ghost Hat Studio (“Company,” “we,” “us,” or “our”). By enrolling in, accessing, or participating in any online courses, AI-led training modules, or live sessions offered through www.ghosthatstudio.com (the “Course”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not enroll in or access the Course.
1.1. Clickwrap Acceptance at Sign-Up: These Terms are accepted via clickwrap (for example, by checking a box or clicking “I Agree” or similar) at the time you sign up, enroll, or otherwise access the Course. Such action constitutes your electronic signature and forms a legally binding agreement.
1.2. Account Creation: To access the Course, you must create a user account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
1.3. Eligibility / Age Requirements: You must be at least 18 years of age to enroll and use the Course. By agreeing to these Terms, you represent that you are 18 or older and have the legal capacity to enter into a binding contract.
1.4. Access; No Account Sharing: Access to the Course is granted to you personally and may not be shared, assigned, sublicensed, or transferred to any other individual or entity. You may not allow others to use your account, and you may not access the Course through another user’s account. We may suspend or terminate accounts that we reasonably believe are being shared or used in violation of these Terms.
2.1. Free and Paid Courses (These Terms Apply to Both): These Terms apply to both free and paid Courses. The first Course is currently free. Ghost Hat Studio reserves the right, at any time, to introduce fees for future Courses or additional features, including converting a free offering into a paid offering for future enrollments.
2.2. Simple Upfront Fee for Paid Courses: For paid Courses, a simple one-time upfront fee is required at the time of enrollment (unless we explicitly state otherwise in writing). Access will not be granted until payment is confirmed.
2.3. Taxes and Third-Party Payment Processing: Prices may be shown exclusive of applicable taxes unless stated otherwise. Payments may be processed by a third-party payment processor, and your payment may be subject to that processor’s terms.
2.4. Refund Policy for Paid Courses (14-Day Window): Unless otherwise stated on the applicable Course sales page or at checkout, the following refund policy applies to paid Courses:
Refund Window: You may request a refund within 14 days of the date of purchase.
How to Request: Refund requests must be submitted to legal@ghosthatstudio.com from the email associated with your account and must include the Course name and order details.
EU/UK (Digital Content) Withdrawal Right Waiver: If you are located in the European Union, United Kingdom, or another jurisdiction providing a statutory “cooling-off” or withdrawal right for digital content, you acknowledge and agree that once you begin accessing or streaming the Course or otherwise receive access to the digital content, you expressly request immediate performance and waive (and/or acknowledge the loss of) any applicable 14-day right of withdrawal to the extent permitted by law.
Non-Refundable Items: No refunds will be provided for (i) purchases made more than 14 days prior to the request; (ii) any items expressly designated as non-refundable at checkout; (iii) any fees charged by payment processors to the extent they are not returned to us; or (iv) any taxes that are non-refundable.
Free Courses: For free Courses, no monetary value is implied, and we may modify, suspend, or terminate access at any time.
2.5. Chargebacks: Initiating a chargeback may result in immediate suspension of your access pending resolution, and you remain responsible for any amounts owed.
3.1. Course Content: All materials provided within the Course, including but not limited to videos, text, graphics, curriculum, and AI-led instruction (collectively, "Course Content"), are the proprietary property of Ghost Hat Studio. 3.2. Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Course Content for your personal, non-commercial educational purposes only. You may not record, reproduce, redistribute, or create derivative works of the Course Content. 3.3. Open Source Code: Any sample code provided via GitHub or other repositories is subject to the specific open-source license (e.g., MIT License) included within that repository. Your use of such code is governed by the terms of that license, independent of these Course Terms.
4.1. Self-Paced, AI-Led Course; AI Chat Feature: The Course is self-paced and AI-led and may include an AI chat feature and other automated tools that generate responses, suggestions, summaries, or other output (“AI Output”). You acknowledge that the Course experience may change over time as we update models, prompts, content, or features.
4.2. AI Output May Be Inaccurate; Use at Your Own Risk: AI Output is provided for informational and educational purposes only. AI systems can produce inaccurate, incomplete, misleading, or outdated information and may not reflect current best practices. You are solely responsible for verifying AI Output before using it.
4.3. Not for Professional or Safety-Critical Decisions: Do not rely on AI Output (or any Course Content) for professional, legal, medical, financial, or safety-critical decisions, or for decisions where errors could result in harm, losses, or liability. You acknowledge that you use the AI chat feature and any AI Output at your own risk, and you are responsible for implementing appropriate safeguards, testing, and human review.
4.4. No Professional Advice: The Course Content and AI Output do not constitute legal, financial, medical, security, or other professional advice. If you need professional advice, you should consult a qualified professional.
4.5. Your Inputs: If you provide prompts, messages, files, code, or other information to the AI chat feature (“Inputs”), you represent and warrant that you have the rights to provide such Inputs and that doing so does not violate any law or third-party rights. Do not submit sensitive personal information, confidential information, or trade secrets unless you have assessed the risks and have appropriate rights and permissions.
5.1. Future Sessions: The Company may add optional or required live workshops, office hours, coaching calls, or Q&A sessions in the future.
5.2. Recording Consent; Educational Use: By participating in any live session, you consent to the recording (audio and/or video) of the session, including your name, likeness, voice, and any content you share (such as screensharing or chat messages). Ghost Hat Studio owns all rights to these recordings and may use, edit, reproduce, distribute, and display them for educational purposes (including incorporating them into future course materials) and for quality assurance and operational purposes, unless prohibited by law.
5.3. Conduct: You agree to maintain a professional and respectful demeanor during all live interactions. We reserve the right to remove any participant who is disruptive, violates our community standards, or interferes with the learning experience, and we may do so without a refund (if applicable).
6.1. "As-Is" and "As-Available" Basis: The Course, Course Content, AI-led instruction, AI chat feature, AI Output, and any related resources are provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, Ghost Hat Studio disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
6.2. Strong Disclaimers for Course Materials, AI Chat, and Sample Code: Without limiting the foregoing:
The Course Content and AI Output may contain errors, omissions, or outdated information and may not work as described in your environment.
Any sample code, scripts, configurations, architectural patterns, checklists, or examples are provided for educational purposes only and may be incomplete, insecure, or unsuitable for production use.
You are solely responsible for independently testing, validating, and securing any implementation and for maintaining appropriate backups, monitoring, and incident response practices.
Educational Purposes Only: The Course is provided for educational purposes only and is not intended as a substitute for professional advice or services.
6.3. No Guarantee of Results: Success in building sovereign AI infrastructure depends on individual effort, experience, and technical and business variables outside our control. We do not guarantee any specific outcome, including any particular financial, operational, security, performance, uptime, cost savings, hiring, revenue, or technical results.
6.4. Assumption of Risk: You understand that working with software, infrastructure, automation, AI systems, and code may involve risks, including service interruptions, security vulnerabilities, data loss, compromised credentials, unintended outputs, model hallucinations, and operational failure. You assume all risks arising from your access to and use of the Course, AI chat feature, and any sample code or configurations.
6.5. Limitation of Liability: To the maximum extent permitted by law, Ghost Hat Studio, its officers, directors, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, or security incidents, arising out of or related to:
Your use of or inability to use the Course, Course Content, AI Output, or sample code;
Errors, omissions, inaccuracies, or delays in Course Content or AI Output;
Any implementation, deployment, or reliance on any code, configurations, or workflows discussed in the Course or suggested by the AI chat feature; or
Unauthorized access, security breaches, or data loss, even if we have been advised of the possibility of such damages.
6.6. Cap on Liability: To the maximum extent permitted by law, in no event shall our total aggregate liability to you for all claims arising out of or related to the Course exceed the amount actually paid by you to the Company for the specific Course giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to liability (or, if the Course is free, USD $100).
6.7. Basis of the Bargain: You acknowledge that the disclaimers and limitations of liability in these Terms are a fundamental basis of the bargain between you and Ghost Hat Studio.
You agree to indemnify and hold harmless Ghost Hat Studio and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Course; (ii) your violation of any term of these Terms; or (iii) your implementation of any code or AI-suggested workflows that result in harm to third parties or your own infrastructure, including claims by third parties relating to your use or misuse of Course materials, AI Output, or any sample code.
8.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. 8.2. Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Seattle, King County, Washington.
9.1. Modifications to Terms: Ghost Hat Studio reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website (and, where required by law, by additional notice). Your continued use of the Course following the posting of changes constitutes your acceptance of such changes.
9.2. Right to Modify or Discontinue Courses: We may, at any time, modify, update, suspend, restrict, or discontinue any Course (in whole or in part), including altering instructors (including AI systems), course structure, content, features, availability, or access duration. We are not liable for any such changes. If a paid Course is permanently discontinued, our sole obligation (if any) will be handled in accordance with the refund policy in Section 2 or as otherwise required by applicable law.
10.1. Code on GitHub; Separate MIT License; "As-Is" Code Disclaimer: Any sample code, templates, or repositories that we make available via GitHub (or other source-control platforms) are provided under a separate license (for example, the MIT License) included with that repository. Such code is not licensed to you under Section 3.2 (Course Content license) and is not part of the Course Content for purposes of these Terms. Your rights to use, modify, and distribute that code are governed solely by the applicable open-source license and any notices in the repository. THE CODE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, to the maximum extent permitted by law. You assume all risk for using, modifying, or deploying the code.
10.2. Termination; Suspension: We may suspend or terminate your access to the Course at any time if we reasonably believe you have violated these Terms, misused the AI chat feature, infringed intellectual property, shared accounts, or engaged in conduct that may harm the Course, other users, or Ghost Hat Studio. Upon termination, the license granted in Section 3.2 ends immediately. Sections that by their nature should survive termination (including Sections 3, 4, 6, 7, 8, 9, and 10) will survive.
You agree to defend, indemnify, and hold harmless Ghost Hat Studio and its affiliates, and each of their respective officers, directors, employees, contractors, agents, and licensors, from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your access to or use of the Course, Course Content, AI chat feature, AI Output, or any sample code or repositories; (ii) your Inputs and your use of AI Output; (iii) your violation of these Terms; (iv) your violation of any law, regulation, or third-party right (including intellectual property, privacy, or publicity rights); and/or (v) your deployment, distribution, or use of any systems, software, or workflows you build based on the Course, including any claims of security incidents, data loss, downtime, or harm to persons or property. Ghost Hat Studio may assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with our defense.
